Terms of Service

Effective date: April 9, 2026

1. Acceptance of Terms

By accessing or using SOP Studio (“Service”), operated by McBix Consulting LLC (“Company,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

SOP Studio is a software-as-a-service platform that enables organizations to create, manage, review, and distribute Standard Operating Procedures (SOPs). The Service includes AI-assisted drafting, approval workflows, acknowledgment tracking, compliance mapping, and integrations with third-party systems. Features vary by subscription plan.

3. Accounts and Access

You must create an account to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at support@sopstudio.io of any unauthorized use.

You must be at least 18 years old to use the Service. Accounts created by bots or automated methods are prohibited. We reserve the right to terminate accounts that violate these Terms.

4. Subscription and Payment

Paid plans are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law or as otherwise stated in these Terms. We reserve the right to change pricing with 30 days' notice. Failure to pay may result in suspension or termination of your account. Payments are processed by Stripe, Inc.; we do not store payment card data.

Free trial periods, if offered, automatically convert to a paid subscription at the end of the trial unless cancelled. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period.

5. Acceptable Use

You agree not to:

  • Use the Service to store, transmit, or process data in violation of applicable law
  • Attempt to reverse engineer, decompile, or access the Service's source code
  • Use automated means to access or scrape the Service beyond normal use
  • Resell or sublicense the Service without written permission
  • Submit content that infringes third-party intellectual property rights
  • Use the Service to transmit malicious code or interfere with other users

6. Your Content

You retain ownership of all content you submit to the Service (“Customer Data”). You grant us a limited, non-exclusive license to process, store, and display your Customer Data solely to provide the Service. We do not sell your Customer Data to third parties.

You are solely responsible for ensuring that your Customer Data complies with applicable laws and regulations, including HIPAA where applicable. If your organization operates under HIPAA, you must enable HIPAA Mode and execute a Business Associate Agreement before storing Protected Health Information (PHI) in the Service.

7. AI-Generated Content

The Service uses artificial intelligence, including Anthropic's Claude, to assist with SOP drafting. AI-generated content is provided as a starting point only. You are solely responsible for reviewing, editing, and validating all AI-generated content before use. We make no representations about the accuracy, completeness, or fitness for purpose of AI-generated content. Do not rely on AI output for medical, legal, regulatory, or safety-critical decisions without independent expert review.

8. HIPAA and Protected Health Information

If you process Protected Health Information (PHI) as defined under the Health Insurance Portability and Accountability Act of 1996 (HIPAA), you must: (a) enable HIPAA Mode in your account settings; (b) execute a Business Associate Agreement (BAA) with us before storing any PHI; and (c) implement appropriate safeguards as required by the HIPAA Security Rule. Use of the Service with PHI without a signed BAA is a material breach of these Terms.

9. Intellectual Property

The Service, including its software, design, and content (excluding Customer Data), is owned by the Company and protected by intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or other brand elements.

10. Confidentiality

Each party agrees to keep confidential the other party's non-public information disclosed in connection with the Service. This obligation does not apply to information that is publicly known, independently developed, or required to be disclosed by law.

11. Availability and Support

We strive for high availability but do not guarantee uninterrupted service. We may perform scheduled maintenance with reasonable advance notice. Support is provided via email at support@sopstudio.io. Enterprise plans include priority support subject to separate service level terms.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR THAT DEFECTS WILL BE CORRECTED.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL WE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

14. Indemnification

You agree to indemnify and hold harmless the Company from any claims, damages, or expenses arising from your use of the Service, your Customer Data, your violation of these Terms, or your violation of any third-party rights.

15. Term and Termination

These Terms are effective until terminated. Either party may terminate by providing 30 days' written notice. We may terminate immediately for material breach, including non-payment or violation of acceptable use policies. Upon termination, your access to the Service will cease. We will retain your Customer Data for 30 days post-termination to allow export, after which it will be deleted per our data retention policy.

16. Governing Law and Disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any dispute arising from these Terms shall first be addressed through good-faith negotiation. If unresolved, disputes shall be settled by binding arbitration under the rules of the American Arbitration Association.

17. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice in the Service at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
